“TERMS OF AGREEMENT - AFFILIATE”
Relationship with Connect Learning Studio, as an affiliate
As an affiliate, you are not an employee of Connect Learning Studio.
You are solely responsible for your tax liability from any commissions you receive.
If your calendar year total payout will reach over $600, you will be requested to complete paperwork for a 1099-contractor. That paperwork must be completed before payouts will continue.
Please seek professional counsel on your tax liability.
Percentage Payout
On all digital products for Connect Learning Studio (FoodStuff Science products are a part of the broader Connect Learning Studio curriculum collection), you will receive 35% of the gross sale from your affiliate link, unless otherwise specifically communicated.
If a sale or promotion is active, your commission will be totaled from the gross of your affiliate-related, completed sale (not any list price present). There is no guarantee of the timing or value of promotion codes or sales being offered, but as an affiliate, you may be notified for informational purposes.

Your commission payout would be $22.75/sale of a $65 (full price) Applied Chemistry Course
Your commission payout would be $19.34/sale of a $55.25 (15% code used by customer) Applied Chemistry course

Cookie Duration
Via Payhip (4.2024): “The cookie duration is 30 days and commissions are attributed to the last touchpoint where a lead has converted from”
Monthly Commission Payout
Total payouts will be tracked month to month.
Commissions payouts will be completed before the 10th of each calendar month for the previous month’s sales.
Commission Payment Method
Your commission will be sent via your Paypal information listed on the Payhip hub. It is your responsibility to keep your account information up to date.
All commissions that are unable to be processed will be considered abandoned 12 months after their original due date from Connect Learning Studio to the Affiliate.
Affiliate Marketing Ethical & Legal Responsibilities
As acting as an Affiliate, you hold sole responsibility for understanding the full breadth of federal, state, and locals laws, as well as particular platform rules for behavior required or expected of an affiliate. (For instance, the Federal Trade Commission regulates & monitors endorsement, paid promotions, and affiliate relationships. Some platforms, websites, and software may have further rules on their terms of use).

In accordance with the FTC, you understand and agree:
-to be forthright & clear with your relationship to Connect Learning Studio when promoting our products (i.e. - that you receive paid commissions on any sales completed via the use of your affiliate link)
-to ensure truthful & accurate reviews of any Connect Learning Studio products or services
-to not make any outlandish or misleading claims pertaining to Connect Learning Studio products or services
Failure to perform in a forthright & clear manner as an affiliate may result in termination of the affiliate relationship with Connect Learning Studio.
Content Rights
Connect Learning Studio retains all rights to the products, marketing materials, and other content produced by Connect Learning Studio, Foodstuff Science, etc. We deny all affiliates the right to openly share the copyrighted material, as is protected by the product’s copyright protections.
The Affiliate retains all rights to the content they create in promotion of products eligible for commission.
Connect Learning Studio may share, with attribution, affiliate content that promotes the company’s products.
Other terms of sharing & content rights may be negotiated, as desired, in writing, between the affiliate & Connect Learning Studio.
Violation of content rights may be grounds for termination of this relationship between parties.
Non-Exclusive Relationship
The Affiliate & Connect Learning Studio are free work with any other entities in promotion of other products and/or services.
Right to Terminate Relationship
It is the right of either party to terminate the affiliate relationship at any time (must be specified in writing, electronic or by mail).
Any commission due (finalized from the date of the written termination) will be paid out by the 10th of the following calendar month.
Limit of Liability
Except in the case of willful misconduct, gross negligence or fraudulent behavior, in no event shall either Party be liable to the other Party (or other related parties) for any special, indirect, incidental, consequential or exemplary damages, including without limitation, lost savings, lost profits or other economic loss, or loss of records or data, as a result of or arising out of this Agreement. In no event will the total liability of Connect Learning Studio exceed the amount of money owed to the Affiliate for their earned commissions.
Terms of Mediation
If a dispute arises out of or relates to this agreement, or the breach thereof, and if the dispute cannot be settled through negotiation, the parties agree first to try in good faith to settle the dispute by mediation administered by the American Arbitration Association under its Commercial Mediation Procedures before resorting to arbitration.
Any controversy or claim or breach thereof arising out of or relating to this contract, after negotiation & mediation has been attempted, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial [or other] Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. Each parties’ cost of arbitration shall be the responsibility of the individual party.
The parties understand that arbitration is final and binding and that they are waiving their rights to other resolution processes such as court action, which may provide a right to a jury trial and the opportunity to take witness testimony prior to such a proceeding, or administrative proceeding.
Change of Terms
If changes to these terms is necessary or impending (i.e. - affiliate software, commission percentages, payout details, contact information, etc), each Party agrees to contact the Other Party as soon as possible or necessary to the change.
Right of termination of relationship (in writing) may invoked at the onset of any changes to these terms.
